1.  Purpose

1.1 China Resources Mixc Lifestyle Limited ("China Resources Mixc Lifestyle" or "the Company") always adheres to the principles of transparency, fairness, and efficiency, committed to building a sustainable supply chain ecosystem and fostering a standardized, efficient, open, and transparent business environment.

1.2 The Company complies with the "Bidding Law of the People's Republic of China," the "Government Procurement Law of the People's Republic of China," and other relevant laws and regulations. In accordance with internal regulations such as the "Procurement Management Rules," "Supplier Management Implementation Rules," "Integrity Agreement with Partners," "Integrity Compliance Commitment," and "Supplier Social Responsibility Initiative," the Company integrates ESG and sustainability standards, selecting suppliers who are honest, law-abiding, and prioritize sustainable development policies. Under equal conditions, suppliers who implement sustainable development policies in their business will be given priority. The Company aims to establish a unified sustainability philosophy and implementation standards with its partners to achieve mutual benefits and win-win outcomes.

1.3 This policy applies to China Resources Mixc Lifestyle and its subsidiaries and encourages all partners and suppliers to comply with this policy.

2.  Business Ethics

2.1 Suppliers should adhere to relevant international standards and applicable national and local laws and regulations.

2.2 Suppliers must not engage in or tolerate any form of corruption, extortion, or bribery.

2.3 Suppliers must not offer or accept bribes or any other illegal benefits from business partners.

2.4 Suppliers should engage in fair competition and comply with all applicable anti-monopoly laws and regulations.

2.5 Suppliers must protect and properly use confidential information, ensuring that all employees and business partners' secrets and intellectual property rights are safeguarded.

2.6 Suppliers should provide channels for reporting workplace issues or potential illegal activities.

3.  Labor and Human Rights

3.1 The employment of child labor is strictly prohibited.

3.2 Slavery, forced, or compulsory labor is prohibited.

3.3 Suppliers should treat all employees equally, providing an inclusive and supportive work environment free from discrimination based on race, nationality, gender, age, physical characteristics, origin, disability, religion, family status, pregnancy, sexual orientation, gender identity, or any other form of discrimination.

3.4 Suppliers should provide compensation that meets local legal requirements.

3.5 It is recommended that suppliers offer sufficient training and educational opportunities to their employees.

4.  Occupational Health and Safety

4.1 Suppliers must comply with applicable health and safety regulations and establish and certify an occupational health and safety management system according to industry standards, such as OHSAS 18001, ISO 45001, etc.

4.2 Suppliers should provide appropriate safety facilities and protective equipment for their employees to minimize health and safety risks in the workplace and ensure that employees have appropriate working and living conditions.

4.3 Suppliers should provide employees with safety training and guidelines for site operations to ensure their safety.

5. Product Quality

5.1 Suppliers must comply with applicable quality regulations and establish and certify a quality management system according to industry standards, such as ISO 9001, etc.

5.2 Suppliers should meet recognized or contractually agreed quality requirements and provide regular training to ensure full implementation.

6.  Environmental Protection

6.1 Suppliers must comply with applicable environmental regulations and actively follow industry standards to establish and certify management systems, such as ISO 14001 certification, environmental product labels, energy-saving, and consumption-reduction certifications, etc.

6.2 Suppliers should implement appropriate management, assessment, and control procedures to prevent or reduce negative environmental impacts.

6.3 Suppliers should reduce environmental emissions and conserve natural resources through measures such as optimizing production, maintaining equipment, material recycling, and reuse.

6.4 Suppliers should adopt climate-friendly products and processes to reduce energy consumption and greenhouse gas emissions.

7.  Supplier and Subcontractor Management

7.1 Suppliers should take appropriate actions to promote the sustainable development of the supply chain.

7.2 Suppliers are encouraged to pass the requirements of this policy to their second-tier suppliers and other partners to jointly promote the sustainable development of the supply chain.

7.3 Suppliers should pay their employees and subcontractors on time.

8.  Auditing and Monitoring

8.1 Suppliers should maintain all policy documents or relevant records to prove their compliance with this Code of Conduct and provide the required documents upon request by China Resources Mixc Lifestyle.

8.2 China Resources Mixc Lifestyle has the right to review the supplier's internal policies, relevant businesses, facilities, and the products and services provided by the supplier, either directly or through a third party, with reasonable notice.

8.3 If a supplier is found to be in violation of this Code, China Resources Mixc Lifestyle will require the supplier to take corrective actions within a specified period. If the situation is severe or corrective measures are not taken in a timely manner, the Company reserves the right to take appropriate actions, including but not limited to disqualifying the supplier from bidding, terminating the cooperation, or placing the supplier on a blacklist.
